This agreement is an official and public offer by the Seller to conclude a contract for the sale of goods presented on the website: https://thewarm.studio/en.
This agreement is public, meaning that, in accordance with Article 633 of the Civil Code of Ukraine, its terms are identical for all buyers, regardless of their status, without giving any preference to one buyer over another.
According to Article 634 of the Civil Code of Ukraine, this Agreement constitutes an adhesion contract, i.e., a contract whose terms are determined by the Seller in this standard form and can only be accepted by joining the proposed Agreement in full, without the right to make any changes or additions.
By entering into this Agreement, the Buyer fully accepts the terms and procedure for order placement, payment for goods, delivery, returns, responsibility for fraudulent orders, and all other terms of the agreement.
The Agreement is considered accepted (concluded) from the moment the Buyer clicks the "Confirm Order/Place Order" button on the order confirmation page in the "Cart" section and receives the order confirmation from the Seller in electronic form.
1. Definitions
1.1. Public Offer (hereinafter referred to as the "Offer") – a public proposal from the Seller addressed to an indefinite number of individuals to enter into a contract for the sale of goods remotely, through telecommunications means (Internet), via the online store located at: https://thewarm.studio/en (https://sohorooms.ua/) (hereinafter referred to as the "Contract") under the terms set out in this Offer.
1.2. Goods – the object of the agreement between the parties (clothing, footwear, leather goods, accessories, etc.) selected by the Buyer on the online store website and added to the cart, or already purchased by the Buyer from the Seller remotely.
1.3. Online Store – the Seller’s website at https://thewarm.studio/en (https://sohorooms.ua/), created to conclude retail sale agreements based on the Buyer’s review of the goods proposed by the Seller using the Internet.
1.4. Buyer – a legally competent individual who is at least 18 years old, receives information from the Seller, places an order for the purchase of goods presented on the website of the online store for purposes unrelated to entrepreneurial activity.
1.5. Seller – an individual entrepreneur who places information about the goods they sell on the "Sohorooms" online store. The name and details of the Seller are specified in the accompanying documents upon the transfer of goods to the Buyer.
1.6. For the purposes of this Agreement, all terms defined in Section 1 of this Agreement are used exclusively in the meanings set forth in this section, regardless of whether they are used in the singular or plural, or in other grammatical forms, cases, and/or constructions. All other terms not separately defined in this Agreement are used in accordance with the provisions of current Ukrainian legislation.
2. Subject of the Agreement
2.1. The Seller agrees to transfer the goods to the Buyer’s ownership, and the Buyer agrees to pay for and accept the goods under the terms of this Agreement.
2.2. The date of conclusion of the Offer Agreement (acceptance of the offer) and the moment of full and unconditional acceptance of the terms of the Agreement by the Buyer is the date the Buyer completes the order form on the online store website, provided the Buyer receives order confirmation from the Seller in electronic form.
3. Order Placement
3.1. The Buyer independently places an order in the Online Store through the "Cart" form or by ordering via email or phone number indicated in the contact section of the online store.
3.2. The Seller has the right to refuse to process the order if the information provided by the Buyer during the order placement is incomplete or raises doubts about its validity.
3.3. When placing an order on the online store website, the Buyer is required to provide the following mandatory information needed by the Seller to fulfill the order:
3.3.1. Buyer’s surname and first name.
3.3.2. Delivery address (if the delivery is to the Buyer’s address) or the details of the New Post office (if applicable).
3.3.3. Contact phone number.
3.4. The name, quantity, SKU, and price of the goods selected by the Buyer are listed in the Buyer’s cart on the online store website or confirmed by the information support service during order placement by phone.
3.5. If either party to the Agreement requires additional information, they may request it from the other party. If the Buyer fails to provide the necessary information, the Seller is not responsible for providing a quality service during the purchase process.
3.6. When placing an order through the Seller’s customer service (Section 3.1 of this Offer), the Buyer is required to provide the information specified in Sections 3.3–3.4 of this Offer.
3.7. Acceptance of the terms of this Offer by the Buyer is done by entering the required data in the registration form on the online store website or when placing the order through the operator. After placing the order through the operator, the Buyer’s details are entered into the Seller's database.
3.8. The Buyer is responsible for the accuracy of the information provided when placing the order.
3.9. By entering into this Agreement, i.e., accepting the terms of this Offer (the proposed terms for purchasing the goods) by placing the order, the Buyer confirms the following:
a) The Buyer is fully acquainted with and agrees with the terms of this Offer.
b) The Buyer gives consent to the collection, processing, and transfer of their personal data, and this consent remains valid throughout the term of the Agreement and for an unlimited time after its termination. Additionally, by concluding the agreement, the Buyer confirms they have been informed (without additional notification) of their rights under the Ukrainian Law "On the Protection of Personal Data," the purposes of data collection, and the fact that their personal data will be transferred to the Seller for the purpose of fulfilling this Agreement, performing settlements, and receiving invoices, acts, and other documents. The Buyer also agrees that the Seller may provide access to and transfer their personal data to third parties without additional notification for the purpose of fulfilling the Buyer’s order. The Buyer is aware of their rights as a subject of personal data under the Ukrainian Law "On the Protection of Personal Data" and fully understands them.
4. Price and Delivery of Goods
4.1. The prices of goods and services are determined by the Seller independently and are indicated on the online store website. All prices are in the national currency of Ukraine.
4.2. The prices of goods and services may be changed by the Seller unilaterally, depending on market conditions. However, the price of an item of goods, once fully paid for by the Buyer, cannot be unilaterally changed by the Seller.
4.3. The price of the goods listed on the online store website does not include the delivery cost to the Buyer. The delivery cost is to be paid by the Buyer according to the applicable rates of the delivery service (carrier) directly to the selected delivery service.
4.4. The Seller may indicate an estimated delivery cost to the Buyer’s address upon request by the Buyer via email or when placing the order through the online store’s customer service.
4.5. The Buyer’s obligation to pay for the goods is considered fulfilled upon receipt of payment by the Seller.
4.6. Payments for goods between the Seller and Buyer are made via the methods indicated on the online store website under the "Payment and Returns" and "Delivery" sections.
4.7. Upon receiving the goods, the Buyer must verify the quality and quantity of the goods (name, quantity, completeness, expiration date) in the presence of the delivery service representative.
4.8. The Buyer or their representative, when receiving the goods, confirms by signature on the receipt/invoice or in the delivery note that they have no claims regarding the quantity, appearance, or completeness of the goods.
4.9. The title and risk of accidental loss or damage to the goods pass to the Buyer or their representative when the goods are received at the delivery location, whether the Buyer personally picks up the goods or when the goods are handed over by the Seller to the chosen delivery service, and only after the full payment for the goods.
5. Rights and Obligations of the Parties
5.1. The Seller is obliged to:
5.1.1. Transfer the goods to the Buyer according to the terms of this Agreement and the Buyer’s order.
5.1.2. Keep private information about the Buyer confidential and not disclose it to third parties, except in cases provided for by law or during the fulfillment of the Buyer’s order.
5.2. The Seller has the right to:
5.2.1. Change the terms of this Agreement and the prices of goods and services unilaterally by posting them on the website. All changes take effect from the moment they are published.
5.3. The Buyer is obliged to:
5.3.1. Familiarize themselves with the contents of this Agreement, its terms, and the prices proposed by the Seller on the online store website before concluding the Agreement.
5.3.2. Provide all necessary information to enable the Seller to fulfill the order.
